Terms and Conditions of Service for Sidekick Software Company

4. Client Responsibilities

Clients are responsible for providing accurate and complete information necessary for the successful provision of services by Sidekick. Any delay or failure resulting from inaccurate or incomplete information is not the responsibility of Sidekick.

5. Intellectual Property

All intellectual property rights related to the services provided by Sidekick, including but not limited to software code, designs, and documentation, remain the property of Sidekick unless otherwise agreed upon in writing.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement.

7. Payment and Invoicing

Payment terms, rates, and invoicing details will be outlined in a separate agreement or proposal. Failure to make timely payments may result in the suspension of services.

8. Termination

Either party may terminate the engagement with written notice if the other party breaches any material term of this Agreement. Upon termination, all outstanding fees become due.

9. Limitation of Liability

Sidekick is not liable for any indirect, incidental, special, or consequential damages arising out of or related to the services provided, even if advised of the possibility of such damages.

10. Governing Law and Dispute Resolution
